Non-Compete Agreement

This Non-Compete Agreement (the "Agreement") is entered into by and between:

Jqwan Graham
Address: 617 E Henry St., Linden, New Jersey 07036

(Hereinafter referred to as the “First Party”)

Article 1: Non-Compete Obligation

The Second Party agrees, during the term of this Agreement and for five (5) years following the termination of their relationship with Peekly, not to:

Engage in, own, or be employed by any business directly competing with Peekly in any capacity.
Use Peekly’s confidential information or proprietary data for personal or third-party gain.
Solicit any customers, partners, or employees of Peekly to engage in competing services or employment opportunities.

This non-compete obligation is applicable globally to safeguard Peekly’s interests and innovation in technology.

This clause applies to all users who acknowledge this Agreement digitally on Peekly’s platform.

Article 2: Non-Solicitation

The Second Party further agrees not to:

Solicit Peekly’s clients or employees for competing ventures.
Interfere with existing or potential business relationships of Peekly.
Divulge proprietary insights or analytics of Peekly’s operations to any third party.

This clause applies universally to all users who digitally acknowledge this Agreement.

Article 3: Confidentiality

The Second Party acknowledges that Peekly’s trade secrets, technologies, and operational data are strictly confidential. Breach of confidentiality will result in legal and injunctive remedies.

Article 4: Injunction and Damages

Any breach of this Agreement would result in irreparable harm to Peekly, entitling the First Party to seek:

Injunctive relief to enforce the terms of this Agreement.
Recovery of reasonable attorney fees and legal costs.

Remedies outlined here apply specifically to parties who acknowledge this Agreement digitally.

Article 5: Severability

If any clause in this Agreement is found unenforceable, the remainder of the Agreement will remain valid and enforceable.

Article 6: Governing Law

This Agreement shall be governed and interpreted by the laws of the State of New Jersey, with jurisdiction in Union County.

Article 7: Entire Agreement

This Agreement constitutes the full understanding of the parties regarding non-compete obligations. Amendments must be in writing and signed by both parties.

Amendments are not applicable for users who acknowledge this Agreement digitally.
