Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (the "Agreement") is entered into by and between:

(Hereinafter referred to as the “First Party”)

Article 1: Purpose

The Disclosing Party seeks to share confidential information with the Receiving Party to explore potential collaborations and business opportunities related to the development, operation, or strategic implementation of Peekly (the “Purpose”).

This applies to users who acknowledge this Agreement digitally on Peekly’s platform.

Article 2: Definition of Confidential Information

Confidential Information includes but is not limited to, proprietary data, trade secrets, concepts, processes, methods, customer information, marketing strategies, financial information, and any material identified as confidential by the Disclosing Party, whether disclosed verbally, visually,
electronically, or in writing.

Article 3: Obligations of the Receiving Party

  1. Maintain the confidentiality of all disclosed information.
  2. Use Confidential Information solely for the Purpose.
  3. Avoid disclosing Confidential Information to third parties without written consent from the Disclosing Party.
  4. Implement measures to safeguard Confidential Information against unauthorized access.


These obligations apply to all users acknowledging this Agreement digitally.

Article 4: Exclusions

Confidential Information does not include information:

  1. Publicly known before disclosure.
  2. Lawfully obtained from a third party without an obligation of confidentiality.
  3. Independently developed by the Receiving Party without reliance on Confidential Information.

Article 5: Term

This Agreement remains effective for five (5) years from the date of execution or until Confidential Information is returned or destroyed.

For digital acknowledgment, the five-year term begins upon user acknowledgment.

Article 6: Remedies

The Disclosing Party reserves the right to seek equitable relief, including injunctive relief, to prevent misuse or unauthorized disclosure of Confidential Information.

These remedies apply to all users who digitally acknowledge this Agreement.

Article 7: Governing Law

This Agreement is governed by and construed under the laws of New Jersey, with jurisdiction in the courts located in Union County.

Article 8: Miscellaneous

  1. Amendments must be made in writing and signed by both parties.
  2. This Agreement constitutes the entire agreement between the parties regarding
    confidentiality.


Amendments are not applicable for users who acknowledge this Agreement digitally.
